Terms of Service

These are the master terms governing your use of edify.club and every purchase you make through it. They apply alongside our Shipping, Cancellation and Return, Warranty, Buyback, FQC and Privacy policies.

1. How these policies fit together

Our customer-facing policies form a single instrument, published across the pages below.

Order of precedence

If there is any conflict between the documents listed below, they take effect in the following order, the earlier prevailing over the later:

  1. The tax invoice and order confirmation issued for the specific order, in respect of price, configuration, warranty duration and any product-specific term recorded on it.
  2. The Business and Bulk Customer terms, in respect of Business Customers only.
  3. These Terms of Service.
  4. The other policies listed above, each in respect of its own subject matter.
  5. The product detail page for the specific product purchased.
  6. Any other statement, marketing material, banner or communication.

Nothing in this order of precedence limits any right of a Consumer that cannot lawfully be excluded or restricted.

Interpretation

  • Headings are for convenience and do not affect interpretation.
  • “Including” and “for example” are not words of limitation.
  • Business day means Monday to Saturday, excluding public holidays notified in Karnataka. Where a period is expressed in business days, the day on which the triggering event occurs is not counted.
  • Reasonable and reasonably practicable are assessed against what a competent refurbished-device retailer operating in India could achieve in the circumstances, not against Edify’s preference.

2. Definitions

Defined terms are capitalised throughout our policies.

Edify, we, us, our
Kuzagan Services Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 2nd Floor, SRS Arcade, 15/2, Hosa Road, Kasavanahalli, Bengaluru, Karnataka 560035, India, GSTIN 29AAJCK8673K1ZN, trading as Edify.club.
Platform
The website edify.club, any Edify mobile application, and any Edify-operated retail or direct sales channel.
You, Customer
The person who places an Order through the Platform.
Consumer
A Customer who buys a Product for personal use and not for resale or for any commercial purpose, as that expression is understood under the Consumer Protection Act, 2019.
Business Customer
A Customer who buys a Product for resale, for any commercial purpose, or in the name of a business entity, including all purchases through the B2B or bulk-order route.
Product
A certified refurbished laptop, desktop, mini PC, accessory or other device sold by Edify.
Order
A request placed by you through the Platform to purchase one or more Products.
Delivery Date
The date on which the Product is first delivered to the address specified in the Order, as recorded by the logistics partner.
FQC
The Final Quality Check.
Defect
A failure of a Product to meet one or more criteria of the FQC, or a defect within the meaning of section 2(10) of the Consumer Protection Act, 2019.
Initial Product Acceptance Period
The period of 14 calendar days beginning on the Delivery Date, described in the Cancellation and Return Policy.
Service Resolution Process
The staged process described in the Warranty and Service Policy by which a reported issue is assessed and resolved.
Technical Assessment
The inspection, evaluation and diagnostic examination carried out by Edify or its authorised service partner to verify a reported issue and determine the applicable resolution.
Support Channel
support@edify.club, the sole channel for service, warranty and after-sales requests.
Buyback Value
The amount payable under the Buyback Policy, calculated using the Reducing Balance Method.

3. Who you are contracting with

The Platform is owned and operated by Kuzagan Services Private Limited. Every Order you place through the Platform is a contract between you and Kuzagan Services Private Limited. Kuzagan Services Private Limited is the seller of record for all Products sold on the Platform and issues the tax invoice for each Order.

By accessing the Platform, creating an account or placing an Order, you agree to these Terms of Service and to our other policies, as applicable.

4. Eligibility and your account

  • You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872.
  • You agree to provide accurate, current and complete information when you register and when you place an Order, including a delivery address and a contact number at which you can be reached.
  • You are responsible for keeping your account credentials confidential and for activity carried out under your account. Notify us at the Support Channel if you believe your account has been used without your authority.
  • We may suspend or close an account where we have reasonable grounds to believe it has been used for fraud, for resale in breach of these terms, or in a manner that materially breaches these terms. We will tell you the reason.

5. The nature of what we sell

Every Product sold by Edify is a refurbished device. It has been previously owned or used. It has been inspected, repaired where required, cleaned, tested and certified against the FQC before dispatch.

  • A Product may show cosmetic wear within the tolerances stated in the FQC. Cosmetic wear within those tolerances is a normal characteristic of a refurbished device and is not a Defect.
  • Components including the battery, storage drive and memory may have been replaced with new, refurbished or equivalent-specification parts. Where a component has been replaced, the replacement meets the specification stated on the product detail page.
  • The battery is a consumable component. The FQC states the minimum battery condition at which a device may be dispatched. Battery capacity reduces with use over time and that reduction is not, by itself, a Defect.
  • Unless the product detail page says otherwise, a Product is not covered by any manufacturer warranty. The warranty that applies is the Edify warranty set out in the Warranty and Service Policy.

6. Product listings, price and tax

  • Product detail pages state the configuration, the cosmetic grade where applicable, and the warranty duration for that Product. We take reasonable care to describe each Product accurately.
  • All prices are in Indian Rupees and are inclusive of Goods and Services Tax unless stated otherwise. A tax invoice is issued for every Order.
  • Shipping is free of charge to the Customer on all Orders. Where a refund is calculated under the Cancellation and Return Policy, freight actually incurred by Edify may be recovered on the basis set out in that policy and disclosed to you before you complete checkout.
  • If a Product is listed at a manifestly incorrect price as a result of a technical or clerical error, we may decline the Order and refund you in full. We will tell you before we do so. We will not dispatch at the erroneous price and then charge you the difference.

7. How an Order is formed

  • Your Order is an offer to purchase. Our acceptance takes place when we dispatch the Product and send you a dispatch confirmation. The contract of sale is formed at that point.
  • We may decline an Order before dispatch where the Product is unavailable, where the delivery address is not serviceable, where the pricing error described above applies, or where we have reasonable grounds to suspect fraud. If we decline, you receive a full refund with no deduction of any kind.
  • Title to and risk in a Product pass to you on delivery to the address in your Order. Risk in a Product returned to Edify passes back to Edify on receipt at our designated facility, except where loss or damage in transit results from packaging or handling for which you are responsible under the Cancellation and Return Policy.

8. Payment

  • We accept the payment methods shown at checkout. Payment card and account details are collected and processed by our payment gateway partners. Edify does not store your full card number, CVV or net-banking credentials.
  • Cash on Delivery is available on eligible Products. A partial payment is collected at the time the Order is placed. The partial payment amount is shown to you at checkout before you confirm the Order.
  • Where a payment fails but an amount is debited from your account, the amount is ordinarily reversed by your bank or payment provider. Report the transaction to the Support Channel with the transaction reference and we will pursue it with the gateway.

9. Software

  • Where an operating system or application software is pre-installed on a Product, it is licensed to you by the relevant software publisher under that publisher’s licence terms, not by Edify.
  • The FQC states the software activation standard applied before dispatch. If pre-installed software supplied by Edify is not activated as stated on the product detail page at the time of delivery, report it through the Support Channel within the Initial Product Acceptance Period and we will rectify it.
  • Edify does not warrant that software will be free from interruption or error, and does not provide software support beyond the activation standard described above.

10. What you must not do

  • Use the Platform for any unlawful or fraudulent purpose.
  • Attempt to gain unauthorised access to any account, system or network connected with the Platform.
  • Upload or transmit malicious code, or interfere with the operation of the Platform.
  • Extract, scrape or systematically copy Platform content for commercial use.
  • Place Orders for resale where you have not been accepted as a Business Customer.
  • Misrepresent the condition of a Product on return, or submit an altered, substituted or misdescribed device under our return, warranty or buyback policies.

11. Intellectual property

The Platform, the Edify name and logo, product photography, the FQC and the text of these policies are owned by or licensed to Edify. You may not reproduce or use them commercially without our written consent. Third-party trade marks appearing on the Platform, including manufacturer names and model designations, are used to identify the Products offered and remain the property of their respective owners.

12. Limitation of liability

Nothing in this section limits or excludes:

  • liability for death or personal injury caused by our negligence;
  • liability for fraud or fraudulent misrepresentation;
  • any liability that cannot lawfully be limited or excluded, including under the Consumer Protection Act, 2019.

Subject to that, and to the maximum extent permitted by law:

  • Edify is not liable for loss of profit, loss of business, loss of contracts, loss of anticipated savings, loss of goodwill, or any indirect or consequential loss.
  • Edify is not liable for loss of, or damage to, data. You are responsible for backing up your data before submitting a Product for service.
  • Edify’s total liability to a Consumer in connection with a Product, however arising, does not exceed the price paid for that Product, except where a greater liability is awarded by a court or consumer forum under a right that cannot be excluded.
  • Edify does not warrant that the Platform will operate without interruption or error.

13. Indemnity

You agree to indemnify Edify against loss arising from your breach of section 10, from your use of a Product for a purpose for which it is not designed, and from any claim brought by a third party to whom you have resold a Product in breach of these terms. This section does not apply to a Consumer save in respect of fraud or a breach of section 10.

14. Force majeure

Neither party is liable for a failure or delay in performing an obligation caused by an event beyond its reasonable control, including natural disaster, epidemic, act of war or terrorism, civil disturbance, strike, government restriction, failure of public infrastructure, or the failure of a logistics network affecting the relevant region. Where such an event affects an Order or a service request, we will tell you, and any timeline in our policies is extended by the period of the event. Where the event continues for more than 30 days and prevents delivery of the Order, you may cancel the Order and receive a full refund without deduction.

15. Changes to these policies

  • We may amend these policies. The current version, its version number and its effective date are published on the Platform.
  • An amendment applies to Orders placed on or after its effective date. The policy in force on the date you placed your Order continues to govern that Order, including the warranty, cancellation, return and buyback terms applicable to it.
  • We will give at least 15 days’ notice on the Platform of any amendment that materially reduces a customer-facing entitlement.
  • We retain a dated archive of superseded versions and will provide the version applicable to your Order on request through the Support Channel.

16. Governing law and dispute resolution

  • These policies are governed by the laws of India.
  • If you are a Consumer, you may bring proceedings before the consumer forum having jurisdiction under section 34(2)(d) of the Consumer Protection Act, 2019, which includes the place where you ordinarily reside or work for gain. Nothing in this document restricts that right.
  • Before commencing proceedings, we ask that you raise the matter through the Support Channel and, if unresolved, escalate it through our grievance redressal process. This is a request and not a precondition to any legal right.
  • For Business Customers, separate dispute resolution provisions apply, supplied with your commercial terms.

17. General

  • If any provision of these policies is held unenforceable, it is severed or read down to the minimum extent necessary, and the remainder continues in effect.
  • A failure or delay in enforcing a right is not a waiver of it.
  • You may not assign your rights under an Order without our consent. We may assign ours on notice to you, provided your rights are not reduced.
  • These policies, the product detail page and the tax invoice for your Order constitute the entire agreement between you and Edify in respect of that Order.

18. Grievance redressal

Write to support@edify.clubwith your Order number. If your complaint is not resolved, it can be escalated on the same thread and then to our Grievance Officer. The full three-stage process, the statutory disclosures required under Rule 5 of the Consumer Protection (E-Commerce) Rules, 2020, and the Grievance Officer’s details are set out in the Privacy Policy.
